Companies Act, 2013 – Features of company – Registration and incorporation-MOA & AOA – Types of companies – Securities- Share and debenture – Directors- appointment, position and removal – Winding up.

Unit 2

The Securities Contract Regulation Act, 1956 – Corporatization and demutualization of stock exchanges-procedure for recognition of stock exchanges – clearing houses – powers of stock exchanges to make bye laws.

The Securities Exchange Board of India Act, 1992 – features – SEBI as the watchdog – SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2009 – SEBI (Listing Obligations and Disclosure Requirements) Regulations,2015.

Unit 3

The Foreign Exchange Management Act, 1999 – History – definitions – regulations and management of foreign exchange – Authorized person – Enforcement Directorate – Offences and penalties.

Unit 4

The Competition Act, 2002-History – definitions – anti competitive agreements – abuse of dominant position – regulation of combinations – Competition Commission of India – establishment, powers, duties and functions – Appellate Tribunal.

Unit 5

Alternative Dispute Resolution in India – The Arbitration and Conciliation Act, 1996 – Arbitration –

meaning – types – arbitration agreement – procedure – Conciliation – conciliator – kinds – procedure

Objectives and Outcomes

Course Objectives:

  • It helps to provide the students to know about legal system, legal environment and legal issues involving business and how to deal with
  • This course also provides students with current and comprehensive information touching various aspects of business

Course Outcomes:

The student will be able to:

CO1– Outline theoretical and practical aspects of Companies Act, 2013. CO2– Explain the legal provisions connected with stock exchanges and SEBI. CO3-Examine regulatory provisions in the field of foreign exchanges.

CO4-Determine how the competition exists in the market places to protect the interest of the consumers.

CO5-Examine the different methods of ADR used in business world for the settlement of disputes.
